USE AGREEMENT: YOUR USE OF THIS SAS MARKETING ASSET DISTRIBUTION SERVER ( “ASSET SERVER”) IS EXPRESSLY CONDITIONED ON YOUR ACCEPTANCE OF THE FOLLOWING TERMS AND CONDITIONS. CLICKING ON THE “ACCEPT” CHECK BOX INDICATES USER'S ACCEPTANCE OF THESE TERMS AND CONDITIONS. The materials residing on the Asset Server (“Materials”) and designated "confidential" are the confidential and proprietary information of SAS Institute Inc. and its affiliates ("SAS"). You, the user ("You" or "User"), agree not to reveal the Materials to anyone other than Your employees or short-term on-site contractors performing activities with a need to see the Materials who are bound by confidentiality obligations greater than or equal to those imposed by this Use Agreement ("Agreement"). The Materials will remain confidential until the earlier of (i) five (5) years from the date of disclosure; or (ii) SAS authorizes their release to the public. You may print portions or all of the Materials. You may duplicate such printed Materials for internal use only and subject to the restrictions set forth herein. You shall not remove any proprietary, copyright, trade secret, or other legend from any form of the Materials. You agree that should any unauthorized disclosure or use of the Materials be made by You or any of Your employees or on-site contractors, You will (a) immediately notify SAS of same, (b) take all necessary steps to prevent further unauthorized access and/or use, and (c) cooperate with SAS in its efforts to secure the Materials and protect SAS's proprietary rights therein.
THE MATERIALS RESIDING ON THE ASSET SERVER ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY WHATSOEVER, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND /OR FITNESS FOR A PARTICULAR PURPOSE, OR ARISING AS A RESULT OF CUSTOM AND USAGE IN THE TRADE OR BY COURSE OF DEALING. SAS DOES NOT WARRANT THAT THE MATERIALS WILL CONFORM TO ANY SPECIFICATIONS PUBLISHED OR UNPUBLISHED. SAS DISCLAIMS ANY AND ALL LIABILITY CONNECTED WITH USE OF THE MATERIALS AND THE ASSET SERVER.
The Materials are provided to You in order to assist You in the performance of Your activities as a authorized contractor of SAS and for no other purpose whatsoever.The Materials and any works created from them remain the exclusive property of SAS. SAS grants a license to You to use the Materials as authorized herein. You agree to comply with all applicable export, import and data privacy laws in connection with the use of the Materials. This Agreement shall be deemed to have been made in and shall be governed by and construed in accordance with the laws of the State of North Carolina and the United States of America , without regard to choice of law provisions. You acknowledge and agree that due to the nature of the property that is the subject of this Agreement, SAS shall suffer irreparable harm should You breach any obligation hereunder. SAS shall, therefore, have the right to seek equitable relief to enforce any right arising hereunder or to prevent or cure any breach of any obligation undertaken, without in any way prejudicing any available legal relief, and without the obligation of posting bond. Such equitable relief may include, but is not limited to, the seeking of a temporary or permanent injunction, restraining order, or order for specific performance, and may be sought in any appropriate court, with or without prior notice, depending on the circumstances. You further agree that such injunction shall be without prejudice to any other rights accruing to SAS by reason of the breach of this Agreement. It is expressly agreed that the obligations of this paragraph survive any termination of this Agreement. This Agreement constitutes the complete and exclusive statement between You and SAS regarding the disclosure and use of the Materials. Only a written agreement signed by You and SAS can modify this Agreement. If any part of this Agreement is held unenforceable or invalid, the remaining provisions shall continue in full force and effect.
